This California and State Privacy Notice supplements the Reason Y Privacy Policy and applies to California residents and other individuals who may have privacy rights under applicable state privacy laws. Reason Y LLC provides a software workflow for intake, document upload, workflow management, data organization, and coordination with professional services providers. This notice explains additional information about how Reason Y collects, uses, discloses, and protects Personal Information, including Sensitive Personal Information, in connection with the Reason Y R&D tax credit workflow.
This notice supplements the Reason Y Privacy Policy available at taxcredits.reasony.io/legal/privacy. If there is a conflict between this notice and the Reason Y Privacy Policy for individuals covered by California or similar state privacy laws, this notice controls only to the extent required by applicable law.
In the 12 months before the Effective Date of this notice, Reason Y has collected, or may collect, the following categories of Personal Information through the Platform:
(a) Identifiers, including name, business email address, mailing address, telephone number, online identifier, IP address, account identifier, and similar identifiers.
(b) California customer records information, including name, signature, address, telephone number, tax records, financial information, payroll records, W-2 forms, employee records, compensation information, and related business records.
(c) Professional or employment related information, including employer name, employee name, title, department, function, hire date, technical background, role, project involvement, R&D allocation percentage, and similar employment related information.
(d) Commercial information, including customer engagement status, transaction information, invoice information, payment status, workflow status, service history, and related business records.
(e) Internet or other electronic network activity information, including access logs, timestamps, browser information, device information, IP address, security logs, workflow activity, acceptance records, and similar technical information.
(f) Inferences or derived information, including document classifications, extracted data fields, workflow summaries, intake summaries, support package outputs, and other information generated from records submitted through the Platform.
(g) Sensitive Personal Information, as described in Section 3.
Reason Y does not intentionally collect biometric information, precise geolocation, race, ethnicity, religious or philosophical beliefs, union membership, genetic data, health information, sex life information, sexual orientation information, or information about children through the launch workflow, unless such information is incidentally included in records uploaded by a customer.
Reason Y may collect or process Sensitive Personal Information through the Platform, including Social Security numbers contained in W-2 forms, tax identification information, payroll records, compensation information, financial records, employee records, account access information, and the contents of files uploaded by customers for R&D tax credit review.
Reason Y uses Sensitive Personal Information only for necessary operational business purposes, including providing the Platform, supporting professional tax review, organizing customer records, maintaining security, preventing fraud, troubleshooting errors, complying with legal obligations, supporting audit or examination related needs, maintaining records, and enforcing agreements. Reason Y does not use Sensitive Personal Information to infer characteristics about individuals.
Reason Y may collect Personal Information from:
(a) Customers and their authorized representatives;
(b) Users who access or complete the Platform workflow;
(c) Files, records, forms, documents, and responses uploaded or submitted through the Platform;
(d) Professional services providers, including Procaccini Advisors LLC;
(e) Affiliates, referral partners, or approved business partners who refer customers to Reason Y;
(f) Service providers and contractors that support the Platform;
(g) Automated technical systems, including hosting, security, access control, logging, and workflow systems; and
(h) Publicly available business sources, where relevant to customer intake, company review, or workflow support.
Reason Y collects and uses Personal Information for the following business purposes:
(a) Providing, operating, maintaining, and securing the Platform;
(b) Creating and managing customer workflows and engagement records;
(c) Collecting, organizing, extracting, classifying, summarizing, and preparing customer records for professional review;
(d) Sharing records with Procaccini Advisors or another identified professional services provider for professional tax review, calculation, documentation, filing support, audit defense, and related services;
(e) Generating intake summaries, workpapers, support package materials, workflow outputs, and engagement records;
(f) Communicating with customers, users, professional services providers, affiliates, and referral partners;
(g) Maintaining acceptance records, audit logs, workflow records, and business records;
(h) Supporting security, fraud prevention, troubleshooting, quality control, and error correction;
(i) Complying with legal obligations, professional record needs, tax authority inquiries, audit or examination related needs, and dispute resolution;
(j) Enforcing agreements and protecting legal rights; and
(k) Evaluating and improving Platform functionality, provided that uploaded customer tax records, payroll records, employee records, project records, and technical documents are not used to train artificial intelligence models without additional legal review, customer disclosure, and consent.
In the 12 months before the Effective Date of this notice, Reason Y has disclosed, or may disclose, Personal Information for a business purpose to the following categories of third parties:
(a) Professional services providers, including Procaccini Advisors LLC;
(b) Cloud hosting, database, storage, and infrastructure providers;
(c) OCR, document processing, artificial intelligence assisted processing, and workflow automation providers;
(d) Electronic signature providers;
(e) Transactional email and communication providers;
(f) Security, access control, and authentication providers;
(g) Legal, accounting, compliance, and professional advisers;
(h) Affiliates and referral partners, only as needed for referral tracking, attribution, or compensation administration;
(i) Government authorities, regulators, courts, or other parties when required by law; and
(j) Successors or potential successors in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction.
The categories of Personal Information disclosed for a business purpose may include identifiers, California customer records information, professional or employment related information, commercial information, internet or electronic network activity information, inferences or derived information, and Sensitive Personal Information.
In the 12 months before the Effective Date of this notice, Reason Y has not sold Personal Information. In the 12 months before the Effective Date of this notice, Reason Y has not shared Personal Information for cross context behavioral advertising. Reason Y does not sell uploaded tax records, payroll records, employee records, contractor records, supply records, project records, technical documents, or customer files. Reason Y does not knowingly sell or share Personal Information of individuals under 16 years old.
Reason Y retains Personal Information for as long as reasonably necessary to provide the Platform, support customer engagements, maintain business records, comply with legal obligations, resolve disputes, enforce agreements, maintain security, preserve acceptance records, and support audit or examination related needs. Professional services providers may retain their own professional engagement files as required or permitted by law, professional standards, customer engagement terms, and record retention obligations.
Subject to applicable exceptions, California residents may have the following rights:
(a) Right to know the categories of Personal Information collected, the categories of sources, the business or commercial purposes for collection, the categories of third parties to whom information is disclosed, and the specific pieces of Personal Information collected.
(b) Right to request deletion of Personal Information, subject to legal, professional, security, record retention, audit defense, dispute resolution, and other permitted exceptions.
(c) Right to correct inaccurate Personal Information.
(d) Right to opt out of the sale of Personal Information or sharing of Personal Information for cross context behavioral advertising.
(e) Right to limit the use and disclosure of Sensitive Personal Information where Sensitive Personal Information is used for purposes beyond necessary operational business purposes.
(f) Right not to receive discriminatory treatment for exercising privacy rights.
Reason Y uses Sensitive Personal Information only for necessary operational business purposes described in this notice and does not use Sensitive Personal Information to infer characteristics about individuals. For that reason, Reason Y does not currently provide a separate “Limit the Use of My Sensitive Personal Information” link.

Please include your name, email address, organization, the nature of your request, and enough information for Reason Y to reasonably verify your identity and locate relevant records. Reason Y may request additional information to verify your identity, confirm your authority to act on behalf of an organization or individual, prevent unauthorized disclosure, and process the request.
You may use an authorized agent to submit a request where permitted by law. Reason Y may require the agent to provide proof of authorization and may require you to verify your identity directly with Reason Y, unless otherwise prohibited by applicable law.
Reason Y may deny or limit a privacy request where permitted by law, including where information must be retained to complete a transaction, provide services, maintain security, prevent fraud, debug errors, comply with legal obligations, maintain professional records, preserve audit defense materials, protect legal rights, resolve disputes, enforce agreements, or support tax authority inquiries.
