This Privacy Policy explains how Reason Y LLC, “Reason Y,” “we,” “us,” or “our,” collects, uses, discloses, stores, and protects information in connection with the Reason Y website, software workflow, intake process, document upload process, customer engagement workflow, and related services, collectively, the “Platform.” The current public workflow location is taxcredits.reasony.io. Reason Y may change, replace, redirect, or supplement the Platform location, URLs, subdomains, access paths, or workflow locations at any time.
By accessing or using the Platform, clicking “I Agree,” checking an acceptance box, electronically signing an agreement that incorporates this Privacy Policy, uploading documents, submitting intake information, or otherwise using the Platform, you acknowledge that you have read and understood this Privacy Policy.
Reason Y provides a software workflow that supports customer intake, document upload, workflow management, record organization, and coordination with professional services providers. The Platform may be used for R&D tax credit intake, document organization, evidence collection, support package preparation, filing support coordination, audit defense coordination, and related workflow activities.
Reason Y does not provide tax advice, prepare tax returns, determine tax credit eligibility, guarantee credits, calculate final tax positions, or act as a tax return preparer. Professional tax services are provided by Procaccini Advisors LLC, “PA,” or another professional services provider identified in the applicable customer engagement materials.
We may collect information you provide directly to us, information uploaded or submitted through the Platform, information generated through workflow activity, and information collected automatically when you use the Platform. Information we may collect includes:
(a) Contact information, including name, title, company name, email address, telephone number, mailing address, and business contact details.
(b) Account and access information, including login information, authorized email address, access status, authentication data, access tokens, acceptance records, and related account information.
(c) Customer records, including tax records, payroll records, W-2 forms, employee rosters, employee names, titles, departments, functions, hire dates, technical backgrounds, R&D allocation percentages, contractor records, supply cost records, general ledger detail, financial records, project records, technical documents, tax returns, and related business records.
(d) Intake and workflow information, including claim path selections, uploaded files, responses to workflow questions, project descriptions, technical uncertainty narratives, process of experimentation narratives, alternative substantiation explanations, workflow status, support package materials, and engagement records.
(e) Payment and invoice information, including invoice status, customer fee information, payment status, and related billing records. We do not receive or hold customer tax credits, refunds, or tax benefits.
(f) Communications, including emails, messages, support requests, workflow notes, customer service communications, and related communications with Reason Y, Procaccini Advisors, or other professional services providers.
(g) Technical and operational information, including IP address, browser type, device information, operating system, timestamps, access logs, acceptance logs, session data, security logs, error logs, and Platform usage information.
(h) Information from referral partners, affiliates, or approved business partners, including referral source, attribution information, campaign information, and related business development records.
The Platform may collect or process Sensitive Personal Information, including Social Security numbers contained in W-2 forms, tax identification information, payroll records, compensation records, employee records, financial records, account access information, and the contents of files uploaded by customers for R&D tax credit review.
We use Sensitive Personal Information only for necessary operational business purposes, including operating the Platform, supporting professional tax review, organizing customer records, maintaining security, preventing fraud, troubleshooting errors, complying with legal obligations, supporting audit or examination related needs, maintaining records, and enforcing agreements. We do not use Sensitive Personal Information to infer characteristics about individuals.
We may use information for the following purposes:
(a) To provide, operate, maintain, and secure the Platform.
(b) To support customer intake, document upload, workflow management, record organization, and engagement tracking.
(c) To share customer records with Procaccini Advisors or another identified professional services provider for professional tax review, R&D tax credit analysis, QRE classification, calculation, documentation, filing support, audit defense, and related services.
(d) To generate intake summaries, workpapers, support package materials, workflow outputs, engagement records, and audit support materials.
(e) To communicate with customers, users, professional services providers, affiliates, referral partners, and service providers.
(f) To maintain acceptance records, audit logs, workflow records, security records, and business records.
(g) To provide customer support, troubleshoot technical issues, correct errors, monitor performance, and improve Platform functionality.
(h) To maintain security, detect unauthorized activity, prevent fraud, protect customer records, and enforce agreements.
(i) To comply with legal obligations, professional record needs, tax authority inquiries, audit or examination related needs, and dispute resolution.
(j) To administer referral, affiliate, attribution, and compensation tracking.
(k) To protect our rights, enforce agreements, and respond to legal process.
Reason Y may use OCR, document processing, artificial intelligence assisted extraction, classification, summarization, or similar tools to process uploaded documents and workflow responses for the purpose of operating the Platform and supporting professional review. Reason Y does not use uploaded customer tax records, payroll records, employee records, project records, or technical documents to train any artificial intelligence model, including third party or Reason Y controlled models, and will not do so without additional legal review, customer disclosure, and consent.
Automated extraction, classification, summarization, and workflow outputs may contain errors and must be reviewed by the applicable professional services provider before being relied upon for any tax position, filing support, or customer deliverable.
We may share information with professional services providers, including Procaccini Advisors, for professional tax review, calculation, documentation, filing support, audit defense, and related services. Professional services providers, including Procaccini Advisors, are expected to maintain customer records and information in accordance with their engagement terms, applicable professional standards, confidentiality obligations, and applicable law.
We may also share information with service providers that support the Platform, including cloud hosting providers, database and storage providers, OCR and document processing providers, artificial intelligence assisted processing providers, workflow automation providers, electronic signature providers, transactional email providers, security providers, authentication providers, infrastructure providers, and technical support providers.
We may share information with legal, accounting, compliance, insurance, or professional advisers.
We may share information with affiliates, referral partners, or approved business partners as needed for referral tracking, attribution, compensation administration, customer support, or business operations.
We may share information with government authorities, regulators, courts, tax authorities, or other parties when required by law, legal process, subpoena, court order, investigation, audit, examination, or similar request.
We may share information with successors or potential successors in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction.
Reason Y does not sell Personal Information. Reason Y does not share Personal Information for cross context behavioral advertising. Reason Y does not sell uploaded tax records, payroll records, employee records, contractor records, supply records, project records, technical documents, or customer files. Reason Y does not knowingly sell or share Personal Information of individuals under 16 years old.
The Platform may use cookies, log files, security tools, analytics tools, access control tools, and similar technologies to operate, secure, monitor, and improve the Platform. These tools may collect technical information such as IP address, browser type, device information, timestamps, session information, workflow activity, and error logs.
Reason Y does not use uploaded customer tax records, payroll records, employee records, project records, or technical documents for targeted advertising.
Reason Y uses commercially reasonable administrative, technical, and physical safeguards designed to protect information from unauthorized access, use, disclosure, alteration, or destruction. No system, website, application, workflow, transmission method, or storage method is completely secure. Reason Y cannot guarantee absolute security.
You are responsible for maintaining the confidentiality and security of all accounts, credentials, access links, devices, browsers, sessions, and authentication methods used to access the Platform.
Reason Y retains information for as long as reasonably necessary to provide the Platform, support customer engagements, maintain business records, comply with legal obligations, resolve disputes, enforce agreements, maintain security, preserve acceptance records, and support audit or examination related needs.
Professional services providers may retain their own professional engagement files as required or permitted by law, professional standards, customer engagement terms, audit defense obligations, examination support needs, and record retention obligations.
Customers and authorized users are responsible for providing accurate, complete, and authorized information. Customers and authorized users are responsible for maintaining original source records and backups of tax records, payroll records, employee records, project records, contractor records, supply records, and other support materials.
Reason Y does not replace customer record retention obligations.
The Platform may connect, coordinate, or share information with third party services and professional services providers. Your relationship with a professional services provider, including Procaccini Advisors, is governed by that provider’s customer engagement agreement or other professional services agreement.
Reason Y is not responsible for professional tax advice, professional tax services, tax credit eligibility, credit amounts, tax filing decisions, tax authority responses, audit outcomes, or professional conclusions provided by a professional services provider.
Depending on where you live and applicable law, you may have rights to request access to, correction of, or deletion of certain Personal Information. You may also have rights to request information about how we collect, use, disclose, sell, or share Personal Information. To submit a privacy request, email [email protected].
We may request information to verify your identity, confirm your authority to act on behalf of an organization or individual, prevent unauthorized disclosure, and process the request. We may deny or limit a request where permitted by law, including where information must be retained to complete a transaction, provide services, maintain security, prevent fraud, debug errors, comply with legal obligations, maintain professional records, preserve audit defense materials, protect legal rights, resolve disputes, enforce agreements, or support tax authority inquiries.
California residents and other individuals covered by applicable state privacy laws may have additional rights described in our California and State Privacy Notice available at taxcredits.reasony.io/legal/california-privacy. The California and State Privacy Notice supplements this Privacy Policy and provides additional disclosures about categories of Personal Information collected, Sensitive Personal Information, sources of information, business purposes, disclosures for business purposes, sale or sharing, retention, and privacy rights.
Reason Y may update this Privacy Policy from time to time. When we update this Privacy Policy, we will post the updated version and update the Effective Date. Your continued use of the Platform after an updated Privacy Policy is posted means you acknowledge the updated Privacy Policy.
